Intellectual Property All elements comprising the Boutique and the Maison's products — including, without limitation, the name "Maison L'Alchimiste des Arts," logos, olfactory and cosmetic formulas, compositions, packaging designs, labels, photographs, illustrations, texts, videos, layout, and source code — constitute the exclusive intellectual property of the Maison or its licensors, protected under applicable intellectual property, copyright, and trademark laws in the United States, Brazil, the European Union, and any other relevant jurisdiction. The Maison reserves the exclusive right to authorize, in advance and in writing, any reproduction, distribution, communication to the public, modification, reverse engineering of formulations, or commercial use of any such elements. Nothing in these Terms shall be construed as granting, whether expressly or by implication, any license or right in the Maison's intellectual property beyond the personal, non-commercial use strictly necessary to browse and purchase from the Boutique. The Maison actively monitors and enforces its intellectual property rights strictly and without exception in every jurisdiction in which it operates, including through appropriate administrative, extrajudicial, and judicial measures against any unauthorized use. 5. Products, Descriptions, and Availability The Maison endeavors to ensure that product descriptions, images, and information reflect, as faithfully as possible, the actual characteristics of its products. Minor variations in color, tone, or olfactory perception may occur due to the display settings of the Customer's device or the artisanal nature of certain compositions, and shall not constitute a product defect. Certain creations may be offered as limited or exclusive editions, subject to stock availability. The Maison reserves the right to discontinue products or collections at any time, without any entitlement to compensation, save for orders already confirmed. 6. Prices, Currency, Taxes, and Customs Charges Prices are displayed in the currency selected by the Customer while browsing, for informational purposes only where such currency differs from the billing currency, and may be subject to exchange-rate fluctuations between the date of viewing and the date payment is processed. Any currency conversion shown on the Boutique is approximate; the final amount charged will be the amount actually billed by the Customer's financial institution, in the applicable billing currency. For international shipments, the Customer is solely and exclusively responsible for the payment of any import duties, customs charges, tariffs, and other levies imposed by the authorities of the destination country ("Import Charges"). Such Import Charges are not included in the purchase price or the shipping fee charged at checkout and are payable directly by the Customer to the carrier or the relevant customs authority, in accordance with local law. The Maison recommends that the Customer inquire in advance with the customs authorities of their country regarding any restrictions on the importation of cosmetics, perfumes, and related products, it being the Customer's sole responsibility to comply with such requirements. 7. Order Process, Validation, and Acceptance The order confirmation email does not constitute the Maison's final acceptance of the order, but merely acknowledges its receipt. The contract of sale is formed only upon the Maison's express confirmation of acceptance of the order and receipt of the corresponding payment, at which point processing for shipment begins. The Maison reserves the exclusive right to refuse, cancel, suspend, or limit, at its reasonable discretion and at any time prior to shipment confirmation, orders that show indications of fraud, misuse of payment methods, attempted unauthorized resale, incompatibility with the quantity limits described in Section 8, or any other circumstance that, in good faith, could compromise the integrity of our operations or the exclusivity of our brand. In such cases, any amount paid will be refunded to the Customer in full. 8. Quantity Limitation per Customer In keeping with the traditions of fine perfumery and exceptional cosmetics, and in order to preserve the exclusivity of our creations and deter unauthorized resale, the Maison reserves the right to establish and enforce limits on the number of units that may be purchased per customer, per order, per payment method, or per delivery address, for certain products, collections, or limited editions, as indicated on the relevant product page or at checkout. The Maison may, at its sole discretion, cancel orders that, individually or in combination with other orders placed by the same Customer, exceed such limits. 9. International Shipping The delivery times indicated on the Boutique are estimates and may vary due to customs procedures, logistical conditions, or circumstances beyond the Maison's control. Risk of loss of or damage to the products passes to the Customer upon delivery to the address provided, subject to the carrier's liability and any mandatory consumer protection provisions applicable in each jurisdiction. 10. Acceptable Use of the Boutique When using the Boutique, the Customer agrees to do so with the courtesy and good faith that characterize our relationship. The Maison reserves the exclusive right to restrict or suspend the access of any user who: uses the Boutique for unlawful or fraudulent purposes, or purposes inconsistent with its function as a luxury retail e-commerce platform; engages in reverse engineering, automated data extraction (scraping), or any attempt to gain unauthorized access to the Maison's systems, source code, or databases; purchases products for the purpose of unauthorized resale, parallel distribution, or commercial use not consented to by the Maison; or in any way compromises the security, integrity, or reputation of the Boutique or the Maison brand. 11. Disclaimers and Limitation of Liability To the fullest extent permitted by applicable law, the Maison's liability for damages arising from use of the Boutique or the purchase of products shall be limited to the amount actually paid by the Customer for the relevant order, except in cases of willful misconduct, gross negligence, death, or personal injury caused by the Maison's proven negligence, or in any other circumstances in which a limitation of liability is prohibited by mandatory law applicable to the Customer. Nothing in these Terms excludes or limits any rights that cannot be validly excluded or limited under the consumer protection laws of the Customer's country of residence, which remain fully in force. 12. Indemnification The Customer agrees to indemnify and hold harmless the Maison, its officers, employees, and service providers from and against any claims, losses, or damages arising from misuse of the Boutique, breach of these Terms, or infringement of third-party rights by the Customer, subject to any limitations imposed by applicable mandatory law. 13. Governing Law and Venue These Terms are governed by the laws of the State of New Jersey, United States of America, without regard to its conflict-of-laws principles. For any disputes not subject to arbitration under Section 14, the competent state or federal courts located in the State of New Jersey shall have exclusive jurisdiction. Notwithstanding the foregoing, nothing in this clause shall affect any mandatory consumer protection rights the Customer may hold under the law of their country of residence, including, where applicable, the right to bring disputes before the courts or dispute resolution bodies of their own jurisdiction. 14. Dispute Resolution — Customers in the United States For Customers residing in the United States, any controversy, dispute, or claim arising out of or relating to these Terms, the Boutique, or the products purchased shall be resolved through individual, binding, and confidential arbitration, administered by a recognized arbitral institution (such as the American Arbitration Association, under its Consumer Arbitration Rules), rather than through litigation before state or federal courts, except for small claims actions where applicable. Class action waiver: to the fullest extent permitted by law, the Customer and the Maison agree that any dispute resolution proceedings shall be conducted solely on an individual basis, and not as part of a class, collective, or representative action or arbitration. The Customer may opt out of this arbitration clause by providing written notice to the Maison within 30 (thirty) days of accepting these Terms, in which case disputes shall be resolved exclusively before the venue designated in Section 13. 15. Dispute Resolution — International Customers For Customers residing in Brazil, the European Union, the European Economic Area, the United Kingdom, or any other jurisdiction that mandatorily guarantees specific procedural or substantive consumer protection rights, nothing in this Section or in Section 14 shall restrict the Customer's access to the courts, administrative bodies, or alternative dispute resolution mechanisms of their own jurisdiction, including, where applicable, the European Online Dispute Resolution Platform and Brazil's consumer protection bodies (Procons and the Consumidor.gov.br system). 16. General Provisions Entire agreement: these Terms, together with the Global Privacy Policy, the International Refund, Return, and Exchange Policy, and the Cookie Policy, constitute the entire agreement between the Customer and the Maison with respect to their subject matter. Severability: should any provision of these Terms be held invalid or unenforceable, the remaining provisions shall continue in full force and effect. No waiver: the Maison's tolerance of any failure to comply with any provision shall not be deemed a waiver of its right to demand future compliance. Assignment: the Maison may assign or transfer its rights and obligations under these Terms in connection with a corporate reorganization, merger, or acquisition, upon notice to the Customer. Force majeure: the Maison shall not be liable for any delay or failure to perform resulting from events beyond its reasonable control. 17. Amendments to the Terms The Maison may update these Terms from time to time, and the version in effect at the time an order is placed shall govern.
